5. Payment Terms
5.1 Pricing
All prices displayed on the Website are in United States Dollars (USD) and are subject to change without prior notice. Chopt makes reasonable efforts to ensure pricing accuracy, but we reserve the right to correct any pricing errors and to cancel orders placed at incorrect prices.
5.2 Payment Methods
We accept major credit cards (Visa, MasterCard, American Express, Discover), debit cards, and such other payment methods as may be made available from time to time. By submitting payment, you authorize Chopt and its payment processors to charge your designated payment method for the total amount of your order, including applicable taxes and fees.
5.3 Order Confirmation
An order confirmation sent to your email or displayed on the Website does not constitute acceptance of your order. Chopt reserves the right to refuse or cancel any order at any time for reasons including but not limited to unavailability of items, inaccuracies in product or pricing information, or suspicion of fraudulent activity.
5.4 Taxes
All transactions may be subject to applicable federal, state, and local sales taxes. You are responsible for paying all taxes applicable to your order. Tax amounts will be displayed at the time of checkout where required by law.

Due to the perishable nature of our food products, all sales are generally final. If you experience an issue with your order, such as receiving incorrect or unsatisfactory items, please contact us at [email protected] within 24 hours of receiving your order. We will evaluate each claim on a case-by-case basis and may, at our sole discretion, offer a refund, credit, or replacement. TO THE EXTENT CHOPT'S LIABILITY CANNOT BE FULLY DISCLAIMED UNDER APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CHOPT IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
8. Indemnification
You agree to defend, indemnify, and hold harmless Chopt and its parent companies, subsidiaries, affiliates, officers, directors, agents, partners, employees, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

9. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which the relevant Chopt location or principal office operates, without regard to conflict of law provisions.
To the extent permitted by law, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website shall be brought exclusively in the federal or state courts located within the United States, and you hereby consent to the personal jurisdiction and venue of such courts. This Agreement is subject to all applicable provisions of the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and other applicable federal consumer protection laws.
For users residing in California, your rights may also be governed by the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and other applicable California state statutes. Nothing in these Terms shall be construed to limit any rights you may have under applicable state law.
10. Dispute Resolution
10.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, controversy, or claim ("Dispute") arising out of or relating to these Terms or the services by contacting Chopt directly at [email protected]. We will make good-faith efforts to resolve the dispute informally within thirty (30) days of receiving your written notice.
10.2 Binding Arbitration
If a Dispute cannot be resolved informally within the thirty (30) day period, you and Chopt agree to resolve the Dispute through binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The arbitration shall be conducted in English and, unless you and Chopt agree otherwise, shall take place in the United States. Each party shall bear its own costs and expenses in connection with the arbitration, except that:
- If you initiate arbitration and the claim is for $10,000 or less, Chopt will pay all filing, administration, and arbitrator fees;
- If the arbitrator finds your claim to be frivolous or brought in bad faith, the AAA rules regarding fee shifting shall apply.
10.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CHOPT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. All Disputes must be resolved on an individual basis.
10.4 Exceptions
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Additionally, either party may bring claims in small claims court if the Dispute qualifies under that court's jurisdictional limits.
11. Term and Termination
11.1 Term
These Terms shall remain in full force and effect for as long as you use the Website or maintain an account with Chopt. Certain provisions of these Terms that by their nature should survive termination shall continue in effect, including but not limited to intellectual property rights, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
11.2 Termination by You
You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including any outstanding payment obligations.
11.3 Termination by Chopt
Chopt reserves the right to suspend, restrict, or terminate your account and access to the Website at any time, with or without notice, and for any reason, including but not limited to:

- Failure to pay for orders;
- Extended inactivity of your account;

12. Changes to Terms
Chopt reserves the right to modify, update, or replace these Terms of Service at any time at our sole discretion. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page;
- Post the revised Terms on the Website at choptsalads.click; and
- Where required by applicable law, provide additional notice via email or prominent Website notification.
Your continued use of the Website or services after any modification to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must immediately cease using the Website and, if applicable, request account deletion. It is your responsibility to review these Terms periodically for any changes.
13. Privacy Policy
Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, store, and disclose information about you when you use our Website and services. For users in California, our Privacy Policy also describes your rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). We encourage you to read our Privacy Policy carefully. By using the Website, you consent to the data practices described in our Privacy Policy.
14. Third-Party Links and Services
The Website may contain links to third-party websites, services, or resources that are not owned or controlled by Chopt. We provide these links for convenience only and do not endorse or assume any responsibility for the content, privacy policies, practices, or availability of any third-party websites or services. Your access to and use of any third-party website or service is entirely at your own risk and subject to the terms and conditions of those third-party services. Chopt expressly disclaims all liability arising from your use of any third-party website or service.
15. Force Majeure
Chopt shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, war, terrorism, civil unrest, labor disputes, supply chain disruptions, or failures of third-party infrastructure. In such events, Chopt shall be excused from performance for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.
16. Accessibility
Chopt is committed to making our Website accessible to all users, including those with disabilities, in accordance with the Americans with Disabilities Act (ADA) and applicable Web Content Accessibility Guidelines (WCAG). 17. Electronic Communications
By using the Website and providing your email address, you agree to receive electronic communications from Chopt, including order confirmations, account notifications, promotional offers, and service-related announcements. You may opt out of promotional communications at any time by following the unsubscribe instructions in any marketing email or by contacting us at [email protected]. Please note that even if you opt out of promotional communications, you may still receive transactional and service-related communications necessary for the administration of your account and orders.
18. Severability
If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law or regulation, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected or impaired by the invalidity, illegality, or unenforceability of any individual provision. The parties agree that the severed or modified provision should be replaced with a valid, enforceable provision that most closely approximates the intent and economic effect of the original provision.
19. Entire Agreement; Waiver
These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Chopt on the Website, constitute the entire agreement between you and Chopt with respect to your use of the Website and services, and supersede all prior and contemporaneous agreements, understandings, negotiations, and representations, whether oral or written, relating to the same subject matter.
Chopt's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver by Chopt of any default or breach of these Terms shall not be deemed a waiver of any subsequent default or breach, whether of the same or different nature. No waiver shall be binding unless it is in writing and signed by an authorized representative of Chopt.
20. Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without the prior written consent of Chopt. Any attempted assignment without such consent shall be null and void. Chopt may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
